Welcome to Adocities, your premier platform for advertising space rentals. These Terms and Conditions govern your use of our services, including the rental of hoardings, LED screens, and our mobile application. By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, please refrain from using our services.
We reserve the right to modify or update these Terms at any time, with changes effective immediately upon posting. Your continued use of our services after any changes constitutes your acceptance of the new Terms.
3.1 Scope of Services: adocities agrees to rent hoardings and LED screens to the Client and to provide access to the mobile application for managing these rentals.
3.2 Contract Term: The rental period, including start and end dates, will be specified in the individual contract between adocities and the Client.
3.3 Installation and Maintenance: adocities will handle the installation, maintenance, and removal of hoardings and LED screens unless otherwise agreed upon.
4.1 Fees and Charges: All fees and charges will be outlined in the individual rental agreement. Payment terms, including due dates and late fees, will be specified therein.
4.2 Deposit: A deposit may be required at the time of booking. This will be refundable, subject to the return of the equipment in good condition.
4.3 Refund Policy: Refunds will be handled as per the specific terms in the rental agreement. Generally, refunds are not provided for early termination by the Client.
5.1 Use of Equipment: The Client is responsible for the proper use and care of the rented equipment. Any damage caused by misuse will be the Client's responsibility.
5.2 Compliance with Laws: The Client agrees to comply with all local, state, and national laws and regulations concerning the content displayed on the hoardings or LED screens.
5.3 Content Approval: adocities reserves the right to approve or reject the content provided by the Client for display.
6.1 Limitation of Liability: adocities is not liable for any indirect, incidental, or consequential damages arising from the use of the rented equipment or the mobile application.
6.2 Force Majeure: adocities is not responsible for any delay or failure to perform due to circumstances beyond our control, including natural disasters, government actions, or technical failures.
7.1 Termination by Client: The Client may terminate the agreement with prior notice as specified in the contract. However, the Client may be liable for any fees or charges incurred up to the termination date.
7.2 Termination by Company: adocities reserves the right to terminate the agreement without notice if the Client breaches any terms or engages in illegal activities.
8.1 License: adocities grants the Client a non-exclusive, non-transferable license to use the mobile application solely for managing advertising space rentals.
8.2 Prohibited Actions: The Client may not modify, distribute, or reverse-engineer the mobile application.
8.3 Data Privacy: adocities will handle the Client's data in accordance with our Privacy Policy.
The Client agrees to indemnify and hold harmless adocities , its employees, and affiliates from any claims, damages, or expenses arising out of the Client's use of the rented equipment or mobile application.
These Terms and Conditions are governed by the laws of India. Any disputes arising from these Terms will be resolved in the courts of India.
11.1 Arbitration: Any disputes that cannot be resolved amicably will be submitted to binding arbitration under the rules of the Indian Arbitration Association.
11.2 Legal Fees: The prevailing party in any legal action shall be entitled to recover its legal fees and costs.
12.1 Entire Agreement: These Terms constitute the entire agreement between the Client and adocities , superseding any prior agreements or understandings.
12.2 Severability: If any part of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
12.3 Waiver: The failure of adocities to enforce any right or provision of these Terms will not be considered a waiver of those rights.
